1. Agreement Overview

These Terms of Service (this "Agreement") govern access to and use of the Chat4U platform, websites, dashboard, APIs, embedded chat widget, hosted demos, scraping and indexing features, Retrieval-Augmented Generation features, analytics, Pro Agent browser-assistance tools, documentation, and related services provided by Chat4U ("Chat4U", "we", "us", or "our").

By creating an account, signing in, purchasing or using a subscription, accepting an order, clicking to accept these Terms, using the Service, or otherwise indicating acceptance, you agree to this Agreement. If you are accepting on behalf of a company, organization, customer, or other legal entity ("Customer"), you represent and warrant that you have authority to bind that Customer. If you do not have authority, or if you or the Customer do not agree to this Agreement, you must not access or use the Service.

Each platform user must accept the then-current legal documents individually before accessing protected dashboard functionality. Chat4U may record the accepted document names, versions, content hashes, effective dates, timestamps, user identifiers, workspace or organization context, IP addresses, user agents, locale, and acceptance source for legal and audit evidence. Workspace or organization use does not replace individual user acceptance. Each user represents that they have authority for the actions they take in the Service, including creating projects, configuring agents, submitting websites or files, enabling scraping, accepting attestations, inviting users, and managing customer data.

Capitalized terms not defined in this Agreement have the meanings given in the Data Processing Addendum ("DPA") or applicable Order.


2. The Service

2.1 Service Description

Chat4U is a cloud-based AI chat platform that enables website owners and businesses to deploy AI chat agents on websites, demos, and related digital experiences. The Service may include:

  • Standard Agents that answer visitor questions using Retrieval-Augmented Generation ("RAG") over Customer-provided or Customer-authorized content;
  • Pro Agents that can read page state and request browser actions such as scrolling, clicking, filling, selecting, navigating, highlighting, reading page elements, and taking page snapshots;
  • a dashboard for configuring projects, agents, data sources, widget behavior, prompt settings, analytics, demos, and usage;
  • URL scraping, sitemap ingestion, file upload, raw text ingestion, content transformation, taxonomy classification, embedding, vector search, and retrieval;
  • hosted public demo pages;
  • APIs, webhooks, documentation, and related support resources.

Anything Customer or its users configure, submit, upload, scrape, index, store, transmit, or otherwise provide through the Service is a "User Submission." User Submissions include prompts, agent settings, project settings, allowed domains, website URLs, scraped pages, files, text sources, business context, visitor chats, Pro Agent tool data, and feedback. Customer is solely responsible for User Submissions.

Chat4U may provide templates, documentation, prompts, default settings, sample workflows, support materials, and other content ("Platform Content"). Platform Content is provided for convenience and does not replace Customer's own legal, privacy, safety, security, accessibility, regulatory, or professional review.

2.2 Subscription, Plans, and Usage

The Service may be offered under free, trial, paid, enterprise, usage-based, or add-on plans. Each plan may include limits, credits, model access, storage capacity, scraping limits, indexed-word capacity, feature availability, rate limits, and other entitlements. These limits may be enforced technically and may change in accordance with the applicable Order, pricing page, dashboard notice, or amendment terms.

If a paid subscription, free tier, trial, add-on, or plan has additional terms, those terms are incorporated by reference. If there is a conflict between this Agreement and an executed order form or negotiated written agreement signed by both parties, the signed written agreement controls for that Customer only.

2.3 Our Ownership

We own the Service, Platform Content, underlying software, designs, interfaces, APIs, documentation, algorithms, workflows, models we provide or configure, infrastructure, templates, and all related technology, improvements, modifications, derivative works, and intellectual property ("Chat4U Materials"). Except for the limited right to use the Service during the subscription term, no rights are granted by implication, estoppel, or otherwise.

Customer owns its User Submissions, subject to the licenses and rights granted in this Agreement and the DPA.

2.4 Permissions and Administration

The Service may allow Customer to invite users, configure roles, manage organizations, define allowed domains, enable features, select providers, configure agents, create demos, and manage data sources. Customer is responsible for all permissions, configurations, and actions taken by its users or through its account, except to the extent caused by Chat4U's breach of this Agreement.


3. Customer Responsibilities and Use Restrictions

3.1 General Responsibilities

Customer is responsible for:

  • ensuring all users comply with this Agreement, the Acceptable Use Policy, and applicable laws;
  • obtaining and maintaining all rights, consents, notices, licenses, permissions, and lawful bases required for User Submissions;
  • providing all required privacy notices and AI disclosures to website visitors and end users;
  • configuring agents, prompts, knowledge bases, allowed domains, escalation paths, and Pro Agent tools appropriately;
  • reviewing AI outputs where accuracy, safety, legal compliance, or user reliance matters;
  • responding to data subject, consumer, visitor, or end-user requests where Customer is controller;
  • ensuring that Customer's use of the Service is appropriate for its industry, jurisdiction, and use case.

3.2 Acceptable Use

Customer must comply with the Acceptable Use Policy, which is incorporated into this Agreement. Customer must not, and must not permit others to:

  • use the Service unlawfully or in violation of third-party rights;
  • reverse engineer, decompile, copy, resell, rent, lease, sublicense, or commercially exploit the Service except as expressly permitted;
  • attempt to gain unauthorized access to the Service, other customers' data, or Chat4U systems;
  • test, scan, or probe vulnerabilities without written authorization;
  • interfere with, overload, degrade, or disrupt the Service or third-party websites;
  • use the Service to create malware, phishing, spam, abusive content, deceptive content, illegal goods or services, or other prohibited activity;
  • remove proprietary notices or use Chat4U branding without permission;
  • use the Service to compete with Chat4U in a manner that misuses the Service or Chat4U Materials.

3.3 API Access

APIs may be subject to authentication, rate limits, fair-use rules, technical constraints, and additional documentation. We may suspend or limit API access to protect the Service, other customers, third-party providers, or legal compliance.


4. User Submissions, Scraping, and Content Rights

4.1 License to User Submissions

Customer grants Chat4U a worldwide, non-exclusive, royalty-free license to host, copy, store, process, transform, parse, chunk, classify, summarize, embed, index, retrieve, display, transmit, and otherwise use User Submissions as necessary to provide, secure, support, maintain, and troubleshoot the Service, comply with law, and enforce this Agreement. Chat4U may use aggregated, de-identified, or operational data to improve the Service as described in the Privacy Policy. This license includes use by authorized sub-processors and third-party service providers as described in the DPA, Privacy Policy, and Sub-processor List.

4.2 Customer Content Warranties

Customer represents and warrants that:

  • Customer owns or controls User Submissions or has all rights and authorizations necessary to submit them to Chat4U;
  • User Submissions do not violate law, third-party rights, site terms, copyright, database rights, privacy rights, confidentiality obligations, trade-secret obligations, contractual restrictions, or security restrictions;
  • Customer has provided all required notices and obtained all required consents, lawful bases, and approvals for processing personal data in User Submissions;
  • Customer will not submit regulated or sensitive data unless permitted by this Agreement and supported by appropriate compliance controls.

4.3 URL Scraping and Authority Attestation

For each website, URL, sitemap, domain, or other online source submitted to the Service, Customer represents and warrants that Customer owns or controls the site or has authorization to instruct Chat4U to crawl, copy, store, transform, index, embed, retrieve, display, and use the site's content for Customer's project.

Customer is responsible for third-party website terms, robots.txt expectations, crawling permissions, rate limits, copyright and database rights, privacy notices, confidentiality duties, and any restrictions on automated access. Chat4U uses attestation-based scraping controls. For scraping targets whose registrable domain matches the project's primary domain, Chat4U may bypass robots.txt based on Customer's authority attestation. For targets outside the project's primary registrable domain, Chat4U enforces robots.txt and may fail closed when rules are unavailable, unreachable, or disallow access. Domain verification is not technically required by the Service. These choices do not reduce Customer's responsibility to ensure that Customer's instructions to Chat4U are lawful and authorized.

Chat4U may record scrape authority attestations and scrape audit logs, including who submitted a URL, project and datasource identifiers, normalized URL, scrape mode, maximum pages, recurring settings, policy versions, robots policy, domain verification policy, timestamp, IP address, user agent, and related metadata.

4.4 Takedowns and Complaints

If Chat4U receives a complaint, legal notice, abuse report, security report, or takedown request concerning User Submissions, Customer sites, scraping, indexed content, AI output, or Pro Agent behavior, Chat4U may investigate, preserve evidence, disable or remove datasources, suspend projects or agents, notify Customer, disclose relevant information where legally required, or take other protective action.

5. AI, RAG, and Pro Agent Features

5.1 AI Output

AI-generated output may be inaccurate, incomplete, outdated, misleading, biased, unsafe, or unsuitable for a particular user or context. Chat4U does not guarantee that AI outputs are correct, lawful, non-infringing, appropriate, or suitable for reliance. Customer is responsible for configuring the agent, maintaining accurate knowledge-base content, reviewing outputs where needed, and providing visitor-facing disclosures that users are interacting with AI where required by law.

The Service does not provide medical, legal, financial, investment, insurance, tax, emergency, employment, housing, credit, education, or other professional advice. Customer must not use AI output as the sole basis for high-impact decisions affecting rights, eligibility, access to services, money, health, safety, employment, housing, credit, education, insurance, benefits, or similar interests.

5.2 RAG and Knowledge Bases

RAG responses are grounded in retrieved content from Customer-configured datasources, but retrieval can miss relevant content, retrieve stale content, or include incorrect content. Customer is responsible for the legality, quality, accuracy, freshness, and completeness of indexed content. Customer is also responsible for copyright, database-right, confidentiality, privacy, and site-term compliance for content it submits or instructs Chat4U to scrape.

5.3 Third-Party AI Providers

The Service may use third-party providers for LLM generation, embeddings, reranking, guardrails, safety checks, observability, and related functions. Provider processing is governed by applicable provider terms, Customer-provided provider keys, platform-level provider configuration, enterprise settings, and the DPA. Chat4U does not promise that third-party providers never process Customer data; instead, provider processing is disclosed in the Privacy Policy, DPA, and Sub-processor List.

5.4 Pro Agent Tools

Pro Agent features may read page structure and content, create page snapshots, read elements, and request tool actions such as clicking, filling, selecting, navigating, scrolling, highlighting, and waiting for elements. Mutating tools may require approval, and the widget includes certain deny selectors and browser-side redaction for common sensitive fields. These safeguards reduce risk but are not guarantees.

Customer must not use Pro Agent to collect or submit passwords, payment card data, authentication codes, medical data, regulated financial information, children's data, or other sensitive data unless Customer has appropriate written controls, disclosures, consents, security measures, and compliance validation. Customer is responsible for allowed-domain settings, tool approvals, visitor consent, and supervising tool actions.


6. Privacy and Data Protection

The DPA is incorporated into this Agreement and applies where Chat4U processes Customer Personal Data as processor or sub-processor. Customer is typically controller for visitor chat data, scraped/uploaded content, and project knowledge-base data. Chat4U is typically controller for account, billing, marketing, legal acceptance, support, security, abuse, and operational data.

Customer must publish appropriate privacy notices, obtain required consents, respond to visitor rights requests where Customer is controller, and ensure Customer's use of the Service complies with applicable data protection laws. Chat4U's Privacy Policy explains how Chat4U processes personal data as controller and how it supports Customer-controlled processing.

At launch, privacy rights handling is manual but audited through internal request tracking. Customer acknowledges that deletion, export, backup purge, and log retention may involve operational steps and legal exceptions.


7. Regulated and Sensitive Use

Regulated verticals are allowed at launch only with accurate self-declaration, warnings, and additional attestation. Customer is solely responsible for determining whether the Service is suitable for its regulated use case and for implementing all required legal, professional, technical, and operational controls.

Without a separate written agreement, Chat4U does not provide:

  • HIPAA Business Associate Agreements or healthcare compliance certification;
  • PCI DSS certification or payment-card processing approval;
  • COPPA parental-consent tooling;
  • financial promotion, investment-advice, credit, insurance, lending, or KYC/AML compliance review;
  • legal advice, professional advice supervision, or unauthorized-practice review;
  • automated-decision compliance tooling for employment, housing, credit, education, insurance, benefits, or similar high-impact contexts.

Customer must comply with the Regulated Use Addendum, which is incorporated into this Agreement.


8. Third-Party Services

The Service may integrate with or rely on third-party services, including identity providers, cloud hosting, email providers, analytics or tracing providers, AI model providers, embedding providers, reranking providers, payment providers, proxy providers, and customer-selected providers. Third-party services are governed by their own terms. Chat4U is not responsible for third-party services except as expressly stated in the DPA or a signed agreement.

If Customer provides third-party credentials, API keys, tokens, or configuration, Customer represents that it has authority to do so and that such use does not violate third-party terms or law.


9. Fees and Payment

Customer must pay all fees stated in the applicable Order, pricing page, or dashboard. Fees are non-cancellable and non-refundable except as expressly stated or required by law. Customer is responsible for taxes, payment-method accuracy, and amounts incurred through Customer's account. If payment fails or fees are overdue, Chat4U may suspend or downgrade access until amounts are paid.

If Customer uses a payment processor, payment processing is also subject to that provider's terms and privacy policy. Chat4U may correct billing errors and may update pricing for renewals or future purchases with notice where required.


10. Term, Suspension, and Termination

This Agreement begins when accepted and continues while Customer uses the Service or has an active subscription. Subscriptions renew or expire according to the applicable Order or dashboard settings.

Either party may terminate for material breach if the breach is not cured within thirty (30) days after notice, unless a shorter period is necessary for security, legal, or abuse reasons. Chat4U may suspend or restrict access immediately if Customer's use creates security risk, legal risk, suspected abuse, unauthorized scraping, non-payment, third-party harm, infrastructure harm, regulatory risk, or violation of this Agreement.

Upon termination, Customer's access may be disabled or downgraded. Customer Data will be handled according to the DPA, product functionality, backup retention, legal obligations, and operational runbooks. Legal acceptance records, scrape audit logs, privacy request records, billing records, security records, and abuse evidence may be retained where reasonably necessary.

Sections concerning ownership, confidentiality, data, payment obligations, disclaimers, limitations of liability, indemnity, suspension, termination effects, dispute resolution, and general provisions survive termination.


11. Warranties and Disclaimers

Customer represents and warrants that it has authority to enter this Agreement, that User Submissions are lawful and authorized, and that Customer's use of the Service complies with applicable laws and third-party rights.

Except as expressly stated, the Service and all Chat4U Materials are provided "as is" and "as available." Chat4U disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, security, accuracy, error-free operation, and suitability of AI output. Chat4U does not warrant that the Service will meet Customer's requirements or that AI outputs will be correct, lawful, safe, or appropriate.


12. Limitation of Liability

To the fullest extent permitted by law, Chat4U will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, business-interruption, goodwill, or reputational damages, even if advised of the possibility.

To the fullest extent permitted by law, Chat4U's total aggregate liability arising out of or related to this Agreement or the Service will not exceed the amounts paid or payable by Customer to Chat4U for the Service in the twelve (12) months before the event giving rise to the claim. These limitations apply regardless of legal theory and even if a remedy fails its essential purpose.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.


13. Indemnity

Customer will defend, indemnify, and hold harmless Chat4U and its affiliates, officers, directors, employees, contractors, agents, and providers from claims, damages, losses, liabilities, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • User Submissions;
  • unauthorized or unlawful scraping, crawling, uploading, indexing, or use of content;
  • Customer websites, visitor disclosures, privacy notices, consents, or data protection compliance;
  • regulated, sensitive, or high-impact use;
  • Pro Agent configuration, tool approvals, or tool actions;
  • infringement or violation of third-party rights;
  • violation of law, this Agreement, the AUP, or the Regulated Use Addendum;
  • Customer's products, services, visitors, users, or end customers.

14. Confidentiality

Each party may receive non-public information that should reasonably be understood as confidential. The receiving party must protect confidential information using reasonable care, use it only for purposes of this Agreement, and disclose it only to personnel, contractors, advisors, affiliates, and providers who need access and are bound by appropriate confidentiality obligations. Confidentiality obligations do not apply to information that is public without breach, already known without restriction, independently developed, or lawfully received from a third party.

If legally compelled to disclose confidential information, the receiving party will provide notice where legally permitted and reasonable cooperation if the disclosing party seeks protective treatment.

Customer may provide feedback. Chat4U may use feedback without restriction or compensation, provided it does not identify Customer as the source without permission.


15. Publicity

Chat4U may identify Customer as a customer only with Customer's consent, unless otherwise agreed in an Order. Any approved use of names, logos, or marks must comply with provided brand guidelines.


16. General Provisions

16.1 Notices

Notices to Chat4U must be sent to support@chat4u.ai unless a signed agreement specifies another address. Notices to Customer may be sent to account email addresses, through the dashboard, or by other reasonable electronic means.

16.2 Changes

Chat4U may update this Agreement from time to time. Material changes may require renewed in-product acceptance before continued dashboard access. Changes are effective when posted or when Customer accepts them, as applicable. If Customer does not agree to updated terms, Customer must stop using the Service.

16.3 Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, cloud-provider failures, third-party provider failures, government action, or widespread outages.

16.4 Assignment

Customer may not assign this Agreement without Chat4U's prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets if the assignee agrees to be bound. Chat4U may assign this Agreement in connection with corporate reorganization, merger, acquisition, financing, or sale of assets. Any prohibited assignment is void.

16.5 Severability and Waiver

If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

16.6 Relationship

The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, fiduciary, franchise, or employment relationship.

16.7 Governing Law and Venue

Unless a signed agreement states otherwise, this Agreement is governed by the laws of the State of Israel, excluding conflict-of-law rules. The parties consent to the exclusive jurisdiction of the competent courts located in Tel Aviv-Jaffa, Israel.

16.8 Entire Agreement

This Agreement, the DPA, AUP, Regulated Use Addendum, Privacy Policy where applicable, Orders, and referenced documents constitute the entire agreement regarding the Service and supersede prior understandings on that subject.
